<li>Deutsche Telekom’s guidance and planned dividend policy remain unchanged</li>

<p>U.S. telecommunications company AT&amp;T Inc. and Deutsche Telekom have terminated the agreement on the sale of T-Mobile USA to AT&amp;T. As a result, AT&amp;T will pay Deutsche Telekom the break-up fee agreed in the contract signed by both companies dated March 20, 2011. This is one of the highest payments ever agreed between two companies for the termination of a purchase agreement. It includes a cash payment of USD 3 billion to Deutsche Telekom, which is expected to be made by the end of this year. In addition, it contains a large package of mobile communications spectrum and a long-term agreement on UMTS roaming within the U.S. for T-Mobile USA.</p>
<p>Both companies are in agreement that the broad opposition by the U.S. Department of Justice (DoJ) and the U.S. telecommunications regulator (FCC) is making it increasingly unlikely that the transaction will close. Both companies are of the opinion that important arguments in support of the transaction have been ignored, such as the significant improvement in high-speed mobile network coverage for the U.S. market, as well as the positive employment effects. In addition there was no indication that either authority would move away from it’s non-supportive stance in return for concessions from the parties in terms of the scope and structure of the transaction.</p>
<p>As part of the break-up fee, T-Mobile USA will receive a large package of AWS mobile spectrum in 128 Cellular Market Areas (CMAs), including 12 of the top 20 markets (Los Angeles, Dallas, Houston, Atlanta, Washington, Boston, San Francisco, Phoenix, San Diego, Denver, Baltimore and Seattle).</p>
<p>The UMTS roaming agreement for the U.S. in T-Mobile USA’s favor has a term of over seven years and will allow the company to improve its footprint significantly among the U.S. population and offer its customers better broadband coverage for mobile communications services in the future. Population coverage will increase from 230 million potential customers at present to 280 million. As a result of the agreement with AT&amp;T, coverage will be extended to many regions of the U.S. in which T-Mobile USA previously had neither its own high-speed mobile communications network nor the associated roaming agreements.</p>
<p>The termination of the agreement means Deutsche Telekom will go back to reporting T-Mobile USA as continuing operations in future. Deutsche Telekom&#8217;s guidance for the 2011 financial year remains unchanged as a result of this development, with adjusted EBITDA of around EUR 19.1 billion expected. At EUR 6.5 billion, free cash flow is forecasted to remain at the prior-year level or increase slightly. The guidance includes the T-Mobile USA contribution based on the average exchange rate in 2010 of USD 1.33 per euro. The free cash flow forecast does not include the settlement payment of EUR 0.4 billion relating to PTC in Poland or the cash payment of USD 3 billion from the break-up fee to be paid by AT&amp;T.</p>
<p>Deutsche Telekom’s dividend policy also remains unchanged. The annual dividend payments are subject to the necessary board resolutions and other legal requirements.</p>
<p>Even following the termination of the agreement with AT&amp;T, Deutsche Telekom exepects to remain within the communicated ranges for certain financial performance indicators used to assess the financial performance of the company. These are as follows: The ratio of net debt to adjusted EBITDA of the Group is to be between 2 and 2.5, the equity ratio is to be between 25 percent and 35 percent, gearing (ratio of net debt to shareholders&#8217; equity) between 0.8 and 1.2, and liquidity reserves is to cover maturities of at least the next 24 months.</p>
<p>The cash component of the break-up fee directly reduces Deutsche Telekom’s net debt, thereby by strengthening the financial performance indicators affecting the company’s rating.</p>

<p>ATLANTA, Dec. 16, 2011 /PRNewswire/ &#8211; Cox Communications announced that it has entered into an agreement to sell to Verizon Wireless its 20 MHz Advanced Wireless Services (AWS) spectrum licenses covering 28 million POPs for $315 million. The sale of Cox&#8217;s AWS spectrum to Verizon Wireless is an important step to ensure that consumers&#8217; growing demands for mobility will be met. This agreement does not include Cox&#8217;s 700 MHz spectrum licenses, the company&#8217;s Cox Wireless customer accounts or any other assets.</p>
<p>Separately, Cox and Verizon Wireless will also become agents to sell each other&#8217;s residential and commercial products and services through their respective sales channels. Over time, Cox may have the option to sell Verizon Wireless&#8217; services on a wholesale basis. In addition, Cox expects to enter into arrangements with the innovation technology joint venture formed by Verizon Wireless, Comcast, Time Warner Cable and Bright House Networks to better integrate wireline and wireless products and services.</p>

Over the weekend, a Cincinnati Bell customer supposedly discovered <a href="http://www.bgr.com/2011/10/02/iphone-rumors-iphone-rumors-and-a-few-more-iphone-rumors/">a pair of placeholder entries for upcoming Apple smartphones</a>. One listing mentioned the oft-rumored iPhone 4S and the second listed a $639.99 iPhone 5 with an 8-megapixel camera, a 4-inch display and &#8220;4G Data Speeds.&#8221; The listing certainly raises eyebrows, but sites reporting the snafu missed a potential tearjerker that could rival <em>Titanic</em>. Read on for more.<span id="more-106224"></span></p>
<p>Last week, T-Mobile USA chief marketing officer Cole Brodman issued <a href="http://www.bgr.com/2011/09/27/t-mobile-usa-cmo-issues-public-plea-for-apples-iphone/">a public plea</a> that likely told us two things: 1) T-Mobile will not be carrying an iPhone when the new models launch this month and 2) T-Mobile really, really wishes that wasn&#8217;t the case. Following Brodman&#8217;s comments, some speculated that the main reason T-Mobile wouldn&#8217;t get the next-generation iPhone was Apple&#8217;s refusal to make a second iPhone model with AWS or cover the cost associated with bringing a penta-band GSM phone to market.</p>
<p>Presuming for a moment that Cincinnati Bell&#8217;s iPhone 5 listing is accurate — which is anything but certain — we&#8217;re looking at an iPhone 5 that supports, among other things, AWS &#8220;4G&#8221; connectivity. The same AWS used by T-Mobile here in the U.S. <em>Ouch</em>. AWS compatibility in an iPhone would allow a handful of carriers to offer the device on their 3G/4G networks, but as much as we love Cincy Bell, Cricket, Canada&#8217;s WIND Mobile and Chilean carrier VTR Banda Ancha, we&#8217;re not sure why Apple would bother with AWS without plans to launch a T-Mobile iPhone.</p>
<p>Apple will unveil one or more next-generation iPhone models at <a href="http://www.bgr.com/2011/09/27/apple-sends-out-invites-for-iphone-event-on-october-4th/">a press conference on Tuesday</a>.</p>

If the merger isn&#8217;t approved, then Apple has immediate access to another large carrier with its iPhone 5 instead of having to work on another model separately. It&#8217;s also entirely possible the internals on this iPhone prototype are being disguised in an iPhone 4 shell, though we doubt it. Let&#8217;s see what happens with the iPhone 5 and if that makes it way to T-Mobile. If that AT&amp;T acquisition gets approved though, the iPhone will eventually make its way to T-Mobile customers regardless.</p>

<p>While AT&amp;T customers can clearly see the benefits of a merger with T-Mobile, customers of the company being acquired are having a difficult time seeing what’s in it for them. <em>What will happen to T-Mobile’s current data plan offerings? Will handset releases slow down? How will this effect my monthly bill?</em> The questions are plentiful and, unfortunately, many of them are unanswered at this point. Yet while the questions outnumber the answers, there is one thing I&#8217;m pretty certain of: whether this deal goes through or not, T-Mobile customers are going to benefit.<span id="more-81579"></span></p>
<p>When you look at the AT&amp;T, T-Mobile deal from a very high level, it looks like a disaster for customers of the latter company. AT&amp;T, a carrier with higher plan prices and more money, swallowing up a smaller rival with more competitive rate plans and an impeccable customer service record. The company that was once dissolved into pieces for its market monopoly in 1982, is slowly beginning to put the franchise back together.</p>
<p>It’s only when you start to really dig into the terms of the agreement that you begin to realize what this deal actually means for T-Mobile and its customers. And how, if the deal were to be denied by U.S. regulators or scuttled by AT&amp;T, there is still something in it for T-Mobile consumers. No matter which way the regulatory ball falls, T-Mobile’s customers win.</p>
<p>The terms of the deal are still very liquid, but a preliminary agreement has been announced by both parties. In exchange for $39 billion in cash and stock, AT&amp;T will acquire T-Mobile and, more importantly, its portfolio of spectrum licenses. If approved, AT&amp;T will take most of T-Mobile’s AWS spectrum and <a href="http://www.bgr.com/2011/03/21/att-intends-to-use-t-mobiles-aws-spectrum-for-lte/">repurpose it for its future LTE rollout</a>. A rollout that, if all goes according to plan, will blanket 95% of the population in the continental U.S. with sweet, sweet Long Term Evolution radio waves. AT&amp;T will also assume control of T-Mobile’s network infrastructure, giving the company access to more towers and equipment in locations across the country. The combination of increased spectrum and networking equipment is expected to ease cellular-data bottlenecks that are very familiar to those who frequent major metropolitan areas like New York and San Francisco with AT&amp;T devices. The hordes of T-Mobile customers — all 33.7 million of them — will be folded into AT&amp;T and benefit from these investments and divestments as well.</p>
<p>But what if the deal falls through? What if U.S. regulators squash the deal or AT&amp;T finds the nearly $40 billion premium too hefty? T-Mobile customers, and Deutsche Telekom,  will still make out just fine. In a conference call this morning, AT&amp;T announced that if the merger is unsuccessful, it will pay T-Mobile USA $3 billion for its troubles. But it doesn’t stop there. AT&amp;T will transfer to T-Mobile any of its AWS spectrum that is “not critical” to its initial LTE rollout and enter a roaming agreement with the carrier that will give it coverage in areas where T-Mobile does not overlap with AT&amp;T. Again, T-Mobile customers will benefit from more spectrum and more coverage.</p>
<p>The big question that most T-Mobile customers will have — especially those who don’t know or care what “spectrum” is — will be, “will my monthly wireless bill increase?” And those are answers we may not have have until long after the deal is done. In the meantime, what I can tell the T-Mobile faithful is this: whether the deal goes through or not, you will definitely win from a network prospective.</p>

<li>The contest is open worldwide, but you must be at least 18 years or older.</li>
<li>The phone is unlocked and supports the 900/1700/2100MHz UMTS bands. This means it&#8217;s 3G compatible with T-Mobile in the US, a few Canadian providers, and most European/Asian providers.</li>
