<p>Verizon Wireless is planning to conduct an open sale of all of its 700 MHz A and B spectrum licenses in an effort to rationalize its spectrum holdings. The carrier obtained the 700 MHz A and B licenses — as well as a nationwide 700 MHz upper C license, which is <a href="http://www.bgr.com/2012/04/17/verizon-to-add-27-new-4g-lte-markets-expand-in-47-others-this-week/">currently used for its 4G LTE service</a> — in an <a href="http://www.bgr.com/2010/12/15/fcc-holding-700mhz-spectrum-auction-july-19/">auction through the Federal Communication Commission</a>. <blockquote><p><strong>Verizon Wireless To Conduct Spectrum License Sale</strong></p>
<p>BASKING RIDGE, NJ — Verizon Wireless today announced plans to conduct an open sale process for all of its 700 MHz A and B spectrum licenses in order to rationalize its spectrum holdings. The licenses cover dozens of major cities across the country, as well as a number of smaller and rural markets.</p>
<p>Verizon Wireless obtained the 700 MHz A and B licenses, as well as nationwide 700 MHz upper C licenses (with the exception of Alaska which has since been acquired), in FCC Auction 73 in 2008. Verizon Wireless is deploying its 4G LTE network, which currently covers more than 200 million people, on its nationwide 700 MHz upper C spectrum. If Verizon Wireless is successful in acquiring additional AWS (Advanced Wireless Services) spectrum licenses, it will use AWS spectrum in conjunction with its 700 MHz upper C band spectrum to deploy additional LTE capacity.</p>
<p>Accordingly, the sale of the A and B licenses is contingent on the close of Verizon Wireless’ pending purchases of AWS licenses from SpectrumCo (an entity jointly owned by Comcast, Time Warner Cable, and Bright House Networks), Cox and Leap Wireless. These transactions are at varying stages of review by the Federal Communications Commission (FCC) and the Department of Justice (DOJ) and are expected to close by mid-summer.</p>
<p>The company is announcing the sale plans now and will begin the process of soliciting interest from potential buyers to ensure the process can move forward quickly once the AWS license transfers have been completed.</p>
<p>“Since wireless operators, large and small, have expressed concern about the availability of high-quality spectrum, we believe our 700 MHz licenses will be attractive to a wide range of buyers,” said Molly Feldman, vice president of Business Development for Verizon Wireless. “Moreover, provided our acquisition of AWS spectrum is approved, our open sale process will ensure these A and B spectrum licenses are quickly and fairly made available for the benefit of other carriers and their customers.”</p>
<p>Stephens Inc., a nationally recognized, independent financial services firm based in Little Rock, Arkansas, has been engaged to manage the offering process. Stephens Inc. will later release information about efforts to reach out to potential bidders, including minority-owned and female-owned businesses, to participate in the process. <p>NEW YORK–(BUSINESS WIRE)–AOL Inc. (NYSE: AOL) (the “Company”) today announced that the Company has entered into a definitive agreement to sell over 800 of its patents and their related patent applications to Microsoft Corporation (NASDAQ: MSFT) (“Microsoft”) and to grant Microsoft a non-exclusive license to its retained patent portfolio for aggregate proceeds of $1.056 billion in cash.</p>

<p>Following the sale, AOL will continue to hold a significant patent portfolio of over 300 patents and patent applications spanning core and strategic technologies, including advertising, search, content generation/management, social networking, mapping, multimedia/streaming, and security among others. AOL also received a license to the patents being sold to Microsoft.</p>
<p>The patent sale includes the sale of the stock of an AOL subsidiary upon which AOL expects to record a capital loss for tax purposes and as a result, cash taxes in connection with the sale should be immaterial. Additionally, AOL expects to utilize approximately $40 million of its existing deferred tax assets, representing approximately 20 percent of its total deferred tax assets, to offset any ordinary income taxes resulting from the license of its remaining patent portfolio.</p>
<p>AOL management and its Board of Directors intend to return a significant portion of the sale proceeds to shareholders and will determine the most efficient and effective method to do so prior to the closing of the transaction. Pro forma for the sale and license, as of December 31, 2011, AOL would have had approximately $15 per share of cash on hand.</p>

<p>&#8220;While we believe there is some intrinsic value in RIMM as an acquisition target with its 75 million subscribers, patent portfolio, BlackBerry OS, and push network, we are unsure if a price of over $10 billion makes sense,&#8221; Wu wrote in a note to investors on Wednesday. &#8220;Currently, the company has a market capitalization of $9.2 billion, meaning upside could be limited.&#8221;</p>
<p>Breaking down RIM&#8217;s worth to potential buyers, the analyst sees $5 billion to $7 billion in real value, or between $9 and $13 per share. &#8220;We believe its most valuable assets are arguably its patent portfolio and BlackBerry Messenger (BBM) app,&#8221; Wu wrote. &#8220;We estimate its patent portfolio could be worth $2-$3 billion assuming the prices that an AAPL led team paid (which RIMM was part of) for Nortel assets and GOOG for MMI. For BBM with its 45 million users, we estimate it could be worth $2-$3 billion.&#8221;</p>
<p>Wu continued, noting that RIM&#8217;s push network and BlackBerry OS likely wouldn&#8217;t have much value in a market dominated by Google and Apple. &#8220;We believe the value of its push network and BlackBerry OS are more questionable given competitive issues both have had in the marketplace but nonetheless, we assign a value of $1 billion (the price paid for PALM). This gives us a valuation of $5-$7 billion, meaning a stock price of $9-$13, which is a bit below where it is currently trading.&#8221;</p>

Reports that RIM is currently in talks to <a href="http://www.bgr.com/2012/01/05/rim-reportedly-agrees-to-license-blackberry-software-to-samsung-htc-and-others/">license its software to other vendors</a> are accurate according to our trusted sources, though we have been told that RIM is most likely leaning toward an outright sale of one or more divisions, or even the whole company. The front runner, we have been told by a trusted source with knowledge of the situation, is Samsung, which might be interested in RIM for a number of reasons.</p>
<p><span id="more-122371"></span></p>
<p>One of the biggest assets RIM has is BlackBerry Messenger, and it would be a smart way for Samsung to differentiate itself inside the Android ecosystem. HTC has its Sense suite and it recently bought into Beats by Dr. Dre. Samsung could buy RIM, or a part of the company, and integrate not only BBM but also several other enterprise features into Android to make its devices an even bigger threat to competitors. This could also help Samsung better differentiate itself on the software and OS level, pulling more control into its hands and away from Google.</p>
<p>We have heard that Jim Balsillie is actively meeting with almost every company that might be interested in either a part or all of RIM, in addition to having talks about licensing. &#8220;Jim is going hard after Samsung,&#8221; said a source with knowledge of the negotiations. One of the reasons no deal has been struck, however, is that RIM&#8217;s co-CEOs are asking for way too much.</p>
<p>We have heard the company is looking for more than $10 billion for a full sale, likely somewhere in the $12 billion to $15 billion range, or between approximately $22.90 and $28.60 per share. RIM&#8217;s market capitalization currently sits at about $8.5 billion, though several analysts think that even $8.5 billion is more than an interested party would consider bidding at the moment.</p>
<p>Samsung declined to comment and a spokesperson for RIM did not immediately respond to a request for comment. It&#8217;s certainly an interesting time at Research In Motion, and we&#8217;ll have much more on RIM in the coming days.</p>
<p>UPDATE: In <a href="http://www.reuters.com/article/2012/01/17/us-rim-idUSTRE80G1Q520120117">a statement provided to <em>Reuters</em> Wednesday evening</a>, a Samsung spokesman said the company is not interested in an outright purchase of Research In Motion. The spokesman did not address reports that Samsung is considering licensing RIM&#8217;s software, however, or purchasing a portion of RIM&#8217;s assets.</p>
