<p>Sony Ericsson on Wednesday posted a €247 million loss, blaming &#8220;intense competition, price erosion and restructuring charges&#8221; for its poor results. <p>Bert Nordberg, President and CEO of Sony Ericsson commented: “Our fourth quarter results reflected intense competition, unfavorable macroeconomic conditions and the effects of a natural disaster in Thailand this quarter. We are aligning our business to drive profitability and to meet customer needs. In spite of these challenges, throughout 2011 we’ve shifted our business from feature phones to smartphones, and our Android-based smartphone sales in the quarter increased by 65% year-on-year. The Xperia portfolio, including the recently announced Xperia NXT series, will serve as a cornerstone of our smartphone lineup in 2012.”</p>
<p>Units shipped during the quarter were 9 million, a 20% decrease year-on-year and a 5% decrease compared to last quarter. The year-on-year and sequential declines reflect a significantly lower number of feature phones shipped, partially offset by an increase in smartphone shipments. Sony Ericsson has shipped 28 million Xperia smartphones to date.</p>
<p>Average selling price (ASP) for the quarter was Euro 143, up 5% year-on-year but down 14% sequentially. The year-on-year increase is due to the shift to smartphones and geographic mix. The sequential decrease in ASP is attributed to geographic and product mix, including declining prices of products launched earlier in the year, and the absence of new products introduced in the fourth quarter.</p>
<p>Sales for the quarter were approximately Euro 1.3 billion, down 16% year-on-year and 19% quarter over quarter. The year-on-year decline reflects the decrease of feature phone sales which was only partially offset by an increase in smartphone sales.  The sequential decline is due to geographic and product mix, resulting in lower sales of both smartphones and feature phones. Fourth quarter sales were negatively impacted by macroeconomic challenges in advanced economies contributing to weaker holiday sales, and certain component shortages from the flooding in Thailand in late October and early November 2011. Xperia smartphones accounted for approximately 80% of total sales in the fourth quarter.</p>
<p>The gross margin for the quarter was 24%, a decrease of 6 percentage points year-on-year and 3 percentage points from the previous quarter. The year-on-year and sequential decreases are attributed to product and geographic mix. Fourth quarter gross margin was also adversely affected by intense smartphone price competition which more than offset the benefit of royalty and other items.</p>
<p>Loss before taxes, excluding restructuring charges, was Euro 154 million for the quarter, compared to income of Euro 39 million for the same quarter last year and of Euro 31 million in the previous quarter.  The year-on-year and sequential declines are due to lower gross margin and increased operational expenses, including higher development and selling expenses.</p>
<p>In December 2011, Sony Ericsson launched a restructuring program including global workforce reductions to reduce costs and drive competitiveness. Restructuring charges for the quarter are Euro 93 million and the program is estimated to be completed by the end of 2012.</p>
<p>The quarter ended in a net loss of Euro 207 million, compared to a net income of Euro 8 million in the same quarter of the previous year, and essentially a break even result in the previous quarter.</p>
<p>Cash flow from operating activities during the quarter was negative Euro 26 million. External borrowings were Euro 19 million during the quarter. Total borrowings were Euro 742 million at the end of the quarter. Total cash balances at December 31, 2011 were Euro 442 million.</p>
<p>Sony Ericsson estimates that its share of the global Android-based smartphone market was 10% in volume and 7% in value during the quarter and 10% in volume and 10% in value for the full year.</p>
<p>Sony Ericsson estimates that the global smartphone market for the full year 2011 increased by 60% in volume to 463 million units. Sony Ericsson estimates strong growth in the smartphone market in 2012.</p>
<p>In October 2011 Sony Corporation (“Sony”) and Telefonaktiebolaget LM Ericsson (“Ericsson”) announced that Sony will acquire Ericsson’s stake in Sony Ericsson and that Sony Ericsson will become a wholly-owned subsidiary of Sony.  The transaction is expected to close in late January to February, subject to customary closing conditions, including regulatory approvals.</p>

<p>During the Consumer Electronics Show in Las Vegas on Tuesday we swung by Sony&#8217;s booth to get an up-close look at the Sony Xperia ion, an Android smartphone soon headed to AT&amp;T. The Xperia ion is the first 4G LTE device from Sony and it&#8217;s equipped with a 1.5GHz dual-core processor, a 4.6-inch reality display with a 720p HD resolution and Sony&#8217;s Bravia Engine, a 12-megapixel camera capable of recording 1080p HD video, a 720p front-facing camera for video chat and an HDMI-out port. We love the thin form factor and faux metal accents, which give it a more premium look and feel. The device currently runs Android 2.3 (Gingerbread) but will be upgraded to Android 4.0 (Ice Cream Sandwich) in the future. The Xperia ion is also PlayStation Certified, which means it can run gaming titles specifically approved by Sony that may not be available on other handsets. AT&amp;T will offer the Xperia ion during the second quarter of this year but pricing still hasn&#8217;t been announced. We&#8217;re looking forward to seeing if Sony can get back in the U.S. smartphone game, and the Xperia ion certainly looks like it could be a good start.</p>

<p>An image of an unannounced Android smartphone from Sony Ericsson code-named &#8220;Nozomi&#8221; has been published on a Chinese forum along with limited preliminary details. The smartphone reportedly features a 720p HD display and a dual-core processor, but additional specs remain a mystery. From the image, it looks like the phone features a display sized above 4 inches, and we can also see a unique lighting feature near the bottom of the device. The Nozomi is currently being tested by a carrier in Hong Kong according the forum user who posted the image, though a release could still be several months away. Earlier reports suggested that the Nozomi features a 4.3-inch 720p HD display, a 1.5GHz dual-core processor and Android 2.3.5 Gingerbread.<span id="more-115552"></span></p>

<p>Ericsson (NASDAQ:ERIC) and Sony Corporation (&#8220;Sony&#8221;) today announced that Sony will acquire Ericsson&#8217;s 50 percent stake in Sony Ericsson Mobile Communications AB (&#8220;Sony Ericsson&#8221;), making the mobile handset business a wholly-owned subsidiary of Sony.</p>
<p>The transaction gives Sony an opportunity to rapidly integrate smartphones into its broad array of network-connected consumer electronics devices &#8211; including tablets, televisions and personal computers &#8211; for the benefit of consumers and the growth of its business. The transaction also provides Sony with a broad intellectual property (IP) cross-licensing agreement covering all products and services of Sony as well as ownership of five essential patent families relating to wireless handset technology.</p>
<p>As part of the transaction, Ericsson will receive a cash consideration of EUR 1.05 billion.</p>
<p>During the past ten years the mobile market has shifted focus from simple mobile phones to rich smartphones that include access to internet services and content. The transaction is a logical strategic step that takes into account the nature of this evolution and its impact on the marketplace.</p>
<p>This means that the synergies for Ericsson in having both a world leading technology and telecoms services portfolio and a handset operation are decreasing. Today Ericsson&#8217;s focus is on the global wireless market as a whole; how wireless connectivity can benefit people, business and society beyond just phones. Consistent with that mission, by setting up a wireless connectivity initiative, Ericsson and Sony will work to drive and develop the market&#8217;s adoption of connectivity across multiple platforms.</p>

Today we take an equally logical step as Sony acquires our stake in Sony Ericsson and makes it a part of its broad range of consumer devices. <p>When Sony Ericsson started its operations on October 1, 2001, it combined the unprofitable handset operations from Ericsson and Sony. Following a successful turnaround the company has become a market leader in the development of feature phones by integrating Sony&#8217;s strong consumer products knowledge and Ericsson&#8217;s telecommunications technology leadership. The WalkmanTM phone and Cyber-shotTM phone are well known examples.</p>
<p>With the successful introduction of the P1 in 2007, Sony Ericsson early on established itself in the smartphone segment. More recently, the company has successfully made the transition from feature phones to Android-based Xperia(TM) smartphones. By the end of the third quarter of 2011, Sony Ericsson held a market share of 11 percent (by value) in the Android phone market, representing 80 percent of the company&#8217;s third quarter sales. During its ten years in operation Sony Ericsson has generated approximately EUR 1.5 billion of profit and paid dividends totalling approximately EUR 1.9 billion to its parent companies. Prominent models include &#8220;XperiaTM arc&#8221; and &#8220;XperiaTM mini&#8221; which received 2011 EISA Awards, while recent notable additions to the lineup include &#8220;XperiaTM PLAY&#8221; and &#8220;XperiaTM arc S&#8221;.</p>
<p>The transaction, which has been approved by appropriate decision-making bodies of both companies, is expected to close in January 2012, subject to customary closing conditions, including regulatory approvals.</p>
<p>Ericsson has accounted for its 50 percent share in Sony Ericsson according to the equity method. Following completion of the transaction, Ericsson will have no outstanding guarantees relating to Sony Ericsson and will no longer account for Sony Ericsson as an investment on balance sheet. The transaction will result in a positive capital gain for Ericsson which will be defined after closing of the transaction.</p>

<p>Bert Nordberg, President and CEO of Sony Ericsson commented, “We delivered a solid 73 million Euro improvement in income before taxes as we rebounded from the previous quarter with a 33 percent increase in sales. Android-based Xperia™ smartphone sales now account for more than 80 percent of sales and we have shipped 22 million Xperia smartphones to date.  We will continue to invest in the smartphone market, shifting the entire portfolio to smartphones during 2012.”</p>
<p>Units shipped during the quarter were 9.5 million, a 9% decrease year-on-year due to a decline in feature phone shipments, partially offset by an increase in smartphone shipments. The 25% quarter-on-quarter increase was due to the higher volume of smartphones shipped.</p>
<p>Average selling price (ASP) for the quarter was Euro 166, up 8% year-on-year and 6% sequentially. The year-on-year increase was due to the shift to smartphones and geographic mix despite a negative effect from foreign exchange rates. The sequential increase was due to product and geographic mix.</p>
<p>Sales for the quarter were approximately Euro 1.6 billion and essentially flat year-on-year.</p>
<p>The gross margin percentage for the quarter was 27%, a decrease of 3 percentage points year-on-year and 4 percentage points from the previous quarter.  The year-on-year decrease in margin is attributed to product and geographic mix.  The sequential decrease in margin was due to inventory-related adjustments and product and geographic mix.</p>
<p>Income before taxes for the quarter was Euro 31 million, compared to income before taxes of Euro 62 million for the same quarter in the previous year.  Loss before taxes for the previous quarter was Euro 42 million. The sequential improvement was reflective of higher sales and lower operating expenses, while the year-on-year decline was due to lower gross margin percentage offset by lower operating expenses.</p>
<p>Net income during the quarter improved by Euro 50 million sequentially, while net income decreased by Euro 49 million year-on-year. Income taxes recorded during the quarter reflect the distribution of profits and losses between various jurisdictions and tax adjustments. Minority interest reflects higher net income at a majority-owned joint venture company.</p>
<p>Cash flow from operating activities during the quarter was Euro 53 million. External borrowings of Euro 51 million were repaid during the quarter, resulting in total borrowings of Euro 718 million at the end of the quarter. Total cash balances at September 30, 2011 amounted to Euro 466 million.</p>
<p>Sony Ericsson estimates that its share of the global Android-based smartphone market during the quarter was approximately 12% in volume and 11% in value.</p>
<p>Sony Ericsson maintains its forecast for modest industry growth in total units in the global handset market for 2011.</p>
